1. Introduction
(1.1)     The meaning of some words used in these terms and conditions
‘we’, ‘us’ or ‘our’ is a reference to M A Grigg (Agricultural) Ltd and trades under the name of M A Griggs and our company number is 01593065;
‘you’ or ‘your’ is a reference to the person to whom we are supplying Goods and who is required to pay for the Goods we supply; ‘Goods’ means the goods we shall display on our website and which you will pay for.

2. Making an order
(2.1)     When you place an order you are making an offer to buy the Goods you have specified at the price stated for those Goods from us. At this stage there is not a binding contract between you and us.
(2.2)     We will acknowledge your order to confirm that we have received your order by email (if you have placed the order online). The confirmation will provide details of what you have ordered, the price that will be charged as well as other information about the progress of your order and estimated dispatch and delivery information. At this stage too there will not be a binding order between you and us.
(2.3)     We will contact you by email that your order for the Goods have been dispatched. This communication will be our acceptance of your order ('Order Acceptance'). At this point there will be a binding contract between you and us at the time the Order Acceptance is sent by us (which may be different to the time you receive it).
(2.4)     The Order Acceptance will only cover the Goods mentioned in it and may not cover all the Goods you ordered. If this is the case then the offer you made for those Goods will only be accepted when we send a further Order Acceptance.
3. Price of goods
(3.1)     We try our best to display accurate and up to date prices, on our web site. But because of the number of Goods we sell occasionally there are errors we cannot state the definite price until we send you the Order Acceptance.
(3.2)     If the price of the Goods is different at the time we are ready to send the Order Acceptance to the time you placed your order then two things can happen:
(3.2.1)     if the price is lower at the time we send the Order Acceptance then we will charge you the lower price and dispatch the goods; or
(3.2.2)     if the price is higher at the time we send the Order Acceptance then we will either cancel your order or contact you to ask you either whether you wish to pay the higher price or to cancel your order. If the order is cancelled by us or you do cancel the order then if you have already made any payment(s), we will make a refund.
(3.3)     All prices shown in pound sterling and are inclusive of VAT.
(3.4)     We accept online payment in a secure environment with Visa & MasterCard credit cards, as well as Solo and Maestro debit cards.
(3.5)     When making payment, your bank may request that you are screened using 3D Secure (MasterCard Secure Code and Verified by Visa) and by an independent fraud prevention service. We may contact you for additional security purposes should we deem it necessary.
(3.6)     When you place an order online you authorise us to debit the credit, debit or other card you specify on your order for the amount of the order at the time we send the Order Acceptance.
(3.7)     We do not accept cheques.
(3.8)     We will normally only debit the card you have used for payment at the time we send the Order Acceptance.
4. Availability and dispatch of Goods
(4.1)    Any times and dates given for dispatch of Goods (or the length of time that Goods will take to be delivered) are only estimates. If we are unable to meet any stated dispatch or delivery dates or times we will inform you as to the progress of your order. If the delay will be substantial or if the Goods will not be available at all for dispatch we will offer you the option either to cancel your order and refund any payment(s) you have made or allowing you to choose alternative Goods.
5. Delivery
(5.1)     We only make deliveries in the mainland of the United Kingdom.
(5.2)     We aim to dispatch all orders within 2 working days so please allow 7 -10 working days for delivery.
(5.3)     We shall only make UK deliveries by Royal Mail Recorded Delivery.
(5.4)     We offer free UK standard delivery for orders with a value of over £75.00.
(5.5)     You will become the owner of the goods you have ordered when they have been delivered to you. Once goods have been delivered to you they will be held at your own risk and we will not be liable for their loss or destruction.
6. Limitation of liability
(6.1)     If the Goods we deliver are not what you ordered or are damaged or defective or the delivery is of an incorrect quantity, we shall have no liability to you unless you use reasonable efforts to notify us in writing at our contact address of the problem within 14 working days of the delivery of the Goods in question.
(6.2)     If you do not receive Goods ordered by you within 30 days of the date on which you ordered them, we shall have no liability to you unless you use reasonable efforts to notify us in writing at our contact address of the problem within 40 days of the date on which you ordered the Goods.
(6.3)     If you notify a problem to us under this condition, our only obligation will be, at your option:
(6.3.1)     to make good any shortage or non delivery and agree a revised date for delivery;
(6.3.2)     to replace or repair any Goods that are damaged or defective; or
(6.3.3)     to refund to you the amount paid by you for the Goods, the postage and packaging in question in whatever way we choose. Save as precluded by law, we will not be liable to you for any indirect or consequential loss, damage or expenses (including loss of profits, business or goodwill) howsoever arising out of any problem you notify to us under this condition and we shall have no liability to pay any money to you by way of compensation other than to refund to you the amount paid by you for the Goods in question under Clause 6.3.3 above.
(6.4)     Notwithstanding the foregoing, nothing in these terms and conditions is intended to limit any rights you might have as a consumer under applicable local law or other statutory rights that may not be excluded nor in any way to exclude or limit our liability to you for any death or personal injury resulting from our negligence.
7. Cancellation rights
(7.1)     You can cancel this contract within 14 days of your receiving the Goods. The 14 day period starts on the day after you receive the Goods.
(7.2)     To cancel the contract you will need to send a letter to us. You can send the letter by post, email or by personal delivery. Contact details for where to send the letter are set out in clause 1.2 above. If you cancel the contract orally, you will need to confirm the oral cancellation in writing and send it to us by one of the means just specified.
(7.3)     Once you have notified us that you are canceling your contract, any sum debited to us from your credit card will be re-credited to your account as soon as possible and in any event within 30 days of your notice of cancellation.
8. Returns
(8.1)     If you wish to cancel the contract, or return the goods pursuant to clause 6, you must complete our return form sent with your order. Our contact details for where to send the return form are set out in clause 1.2 above.
(8.2)     If you have received the goods before you cancel your contract then you must send the goods back to our contact address set out in clause 1.2 above at your own cost and risk.
(8.3)     All packaging should be in the condition it was provided to you and you should not mark or damage it (unless it is unavoidable in unpacking the goods or packing them again for return to us) and all accessories which are included or provided with the goods should be returned (such manuals, cables, consumables, etc);
(8.4)     If you cancel your contract but we have already processed the goods for delivery you must not unpack the goods when they are received by you and you must send the goods back to us at our contact address at your own cost and risk as soon as possible.
(8.5)     If you fail to return the goods after you have canceled your contract, we can charge you the direct cost of ensuring the return unless the goods are faulty or do not comply with the contract.
9. Invalidity
If any part of these terms and conditions is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of these conditions will not be affected.
10. Our Privacy Statement
This policy (together with our terms of use and any other documents referred to on it) sets out the basis on which any personal data we collect from you, or that you provide to us, will be processed by us. Please read the following carefully to understand our views and practices regarding your personal data and how we will treat it.

Information we collect from you
We collect and process the following data from you:-
(a)     Information that you provide by filling in boxes or forms within our website www.magrigg.co.uk. This includes information provided at the time of registering to use our site, subscribing to our site, posting material or requesting further services,
(b)     We may also ask you for information and when you report a problem with our site,
(c)     Details of transactions you carry out through our site, and
(d)     Details required to process your order including your personal details, your email address and postal address.

IP Addresses and Cookies
We may collect information about your computer, including where available your IP address, operating system and browser type, for system administration and to report aggregate information to our advertisers. This is statistical data about our users' browsing actions and patterns, and does not identify any individual.
For the same reason, we may obtain information about your general internet usage by using a cookie file which is stored on the hard drive of your computer. Cookies contain information that is transferred to your computer's hard drive.
They help us to improve our site and to deliver a better and more personalised service. They enable us:
     - To estimate our audience size and usage pattern.
     - To store information about your preferences, and so allow us to customise our site according to      your individual interests.
     - To speed up your searches.

Where we store your personal data
All information you provide to us is stored on our secure servers. Any payment transactions will be encrypted using SSL technology. Where we have given you (or where you have chosen) a password which enables you to access certain parts of our site, you are responsible for keeping this password confidential. We want you to shop online with confidence. When you place an order using the M A Grigg web site, your credit card details are processed by PayPal, an accredited payment service provider. Disclaimer: We do not hold your customer financial details on our website.

     - To provide you with information or products that you request from us or which we feel may interest you, where you have consented to be contacted for such purposes.
     - To carry out our obligations arising from any contracts entered into between you and us.

If you are an existing customer, we will only contact you by electronic means (e-mail or SMS) with information about goods and services similar to those which were the subject of a previous sale to you. If you are a new customer we will contact you by electronic means only if you have consented to this. We do not disclose information about identifiable individuals to our advertisers, but we may provide them with general information about the number of our users.

Disclosure

(c)     If we are under a duty to disclose or share your personal data in order to comply with any legal obligation, or in order to enforce or apply our terms and conditions of supply and other agreements, or to protect the rights, property or safety of M A Grigg (Agricultural) Limited, our customers or others. You have the right to ask us not to process your personal data for marketing purposes. We will inform you (before collecting your data) if we intend to use your data for such purposes or if we intend to disclose your information to any third party for such purposes. For the purposes of the Contracts (Rights of Third Parties) Act 1999 this contract is not intended to, and does not, give any person who is not a party to it any right to enforce any of its provisions.
13. Law and jurisdiction
This contract shall be governed and construed by the law of England and you and we agree to submit to the jurisdiction of the courts of England and Wales.
